can i put exhaust fan directly over tub?

Yes.
Follow manufactures guidelines regarding gfci use.

Check the instructions that came with the fan. They should tell you what is required if installed directly above a shower or bath. The NEC doesn't require a GFCI but they do say you have to follow the manufacturers instructions.
