Replacing outside wall stud-Termite damaged-advice needed.

I am replacing this stud because there was some termite damage. Cut the nails and removed easily. Behind it the outside wall has some damage. Possibly from removal, when the original owner did work on it, or from the termites. Regardless, I have some gaps that are allowing air in.

How do I fix so I can put the new stud in?

Thinking about using caulk to seal the small gaps then putting up 15# tar paper.

Spray Foam:

Once dry and fully cured, use a sharp utlility knife, cut away what you need to (in order to install the replacement stud).
Because there obviously will be less space there (due to the foam), consider cutting the stud width down a little, or installing a doubled up 2x3 (side by side) into that area.

Yeah, that would be the easiest way. The cans have direction nozzels, so you could fill that area after installing the studs with no problems...
